ILA Coffee Chat - Introduction to ILA publication on Non-Executive Directors in Luxembourg

 A focus on NEDs, iNEDs and the concept of independence

The value of independent voices on boards is widely recognised. Being external to the company and uninvolved in day-to-day management of the company’s affairs, Non-Executive Directors (“NEDs”) bring a fresh perspective to solving and addressing strategic issues facing the company. However, there is less agreement on how to define this notion of independence. The recent ILA publication “Non-Executive Directors in Luxembourg – A focus on NEDs, iNEDs and the concept of independence” aims at adding clarity on this concept as organisations strive to combat groupthink on their boards. 

During this coffee chat, three members of the task force will explore the main outlines of this publication and will reflect on the particular role and value brought by external directors – the NED and the iNED. A further focus will be made on the optimization of the Board Composition, and on the policies, each Board should implement to assess the independence. Finally, concrete criteria to assess independence will be discussed.
