PwC Luxembourg & The Luxembourg Institute of Governance (ILA) are thrilled to invite you to the 2025 NED Day, taking place on April 24th, 2025, at the PwC premises.
For several years, we have had the pleasure of welcoming Executive and Non-Executive Directors to explore a wide range of hot topics and market trends.
The day will kick-off with a plenary session featuring the latest edition of the Luxembourg Fund Governance Survey, followed by an engaging panel discussion with experts and Directors on the impact of tax and legal controversies on Directors.
After the lunch break, you will have the opportunity to dive into various workshops covering industry topics (ESG, ELTIF, investment tax credit...), technical points (new accounting bill, separate report...) and director’s matters such as D&O and fraud awareness.
Throughout the day, you will also have time to network and engage with our subject-matter experts and industry leaders during the breaks and at the end-of-day cocktail reception.

Topic 1: Am I Responsible for Sustainability Reporting? A Non-Exec Director’s Guide to SFDR.
As
a Non-Executive Director, the question of responsibility for sustainability
reporting is more relevant than ever. In this workshop, we’ll explore the SFDR
and clarify your role in ensuring your organization meets its sustainability
obligations. Gain a clear understanding of the key responsibilities, risks, and
opportunities involved, and walk away with practical insights to strengthen
your governance in sustainable finance.
Topic 2: Directors' and Officers' Liability Insurance (D&O) as a risk management Solution
D&O
is one of management liability solutions which helps protect public, private,
and non-profit organisations, individuals from a wide range of board-level and
professional exposures. We will discuss the how the insurance protection works
focusing on its specificities including typical perils, limits and exclusions..
We will explore the key features of the insurance product and discuss typical
misunderstandings regarding the risks covered and protection mechanism.
Topic 3: ELTIF 2.0: Challenges created by the new liquidity possibilities
The
new Level 1 and Level 2 regulations concerning ELTIFs have driven an increase
in the popularity of this product across the European Union - with Luxembourg
proving overwhelmingly to be the preferred place for their set-up. But the new
possibilities offered by these regulations are coupled with additional
responsibilities for the directors of ELTIFs - especially vis-a-vis the retail
base, the target market for ELTIFs - which will generate increased levels of
scrutiny from regulators at a pan-European level.
During this workshop, we will walk you through what directors of ELTIFs should
be mindful of when navigating through these new regulations, the legal and
operational constraints that directors will have to tackle when dealing with a
(semi-)liquid ELTIF, and how to best manage directors' responsibilities more
generally in order to capitalise on the opportunities afforded by these ELTIF
regulations.
Topic 4: Multidimensional Holistic Update on Sustainability
A
dynamic workshop designed for directors to explore sustainability from fresh,
business-driven angles. Understand the global landscape, climate litigation,
evolving regulations and risk mitigation as an opportunity for ownership and
futureproofing your business.
Topic 5: Separate report and SAQ: takeaways after one year
Dive
into the latest CSSF Feedback Report on Self-Assessment Questionnaire, Separate
Report and Management Letter for Funds following the first-year application of
Circular 21/790. Join us for an enlightening workshop to explore the feedback,
updates on the new work-program and have your questions answered by experts.
Topic 6: RCS / RBE law bill
Insightful
presentation on the recent amendments to the Luxembourg laws governing the
Register of Beneficial Owners (RBE) and the Trade and Companies Register (RCS).
This session will delve into the key changes introduced by Bill of Law 7961.
Topic 7: Accounting updates: Latest recommendations of the Luxembourg Accounting Board and bill 8286
In
this session, we will present you the latest recommendations of the Luxembourg
Accounting Board together with the impacts on the annual accounts. In addition,
we will make a point on the draft accounting law (bill 8286). Many material
changes are expected with this bill, it is important to know what to expect,
and also if some provision may change before being voted.
Topic 8: Luxembourg tax authority focus & Investment Tax Credit
Evolution
of the Tax authorities - the Journey - and the new investment tax credit law,
representing a catalyst for the transformation strategy (digital & green)
Topic 9: Fraud awareness for directors
In
this session we will present various threat scenarios and trends that you need
to be aware of as a Director when it comes to fraud making sure:
- your company is aware of the risks
to protect against
- you can demonstrate that you are
"doing it right" when it comes to how acting with integrity in case
of incidents
