NEW ILA Committee

Governance Matters Member Support

We have set up a new committee to support individual members who do not have access to the infrastructure, support, and network of a firm. The committee will provide additional comfort to those members who need a second opinion or wish to consult seasoned professionals.

We will soon open a channel to submit questions to the committee. These questions will be gathered in a FAQ document that will be available in this page.

Stay tuned to find out more about the outcomes of the committee!

ILA Non-Executive Directors in Luxembourg - NEDs, iNEDs and the concept of independence

The Institut Luxembourgeois des Administrateurs (ILA) has identified a need to help Luxembourg’s Boards better understand how to approach the concept of Director “independence.” This goes beyond any legal or regulatory requirements and must be seen in the wider context of how independence of mind relates to the concept of independence in the role of a NED. It is important to analyze stakeholder expectations, techniques for managing conflicts of interest and wider Board composition trends, “which have led to the emergence of this sub-group of Non-Executives on a Board who are considered to be “independent.

ILA & KPMG Remuneration Survey 2022

The Institut Luxembourgeois des Administrateurs and KPMG Luxembourg are very proud to bring you the fourth edition of our report on the remuneration of non-executive directors in Luxembourg incorporated financial, industrial, and commercial companies.
As in previous editions, we have collected remuneration data from, on the one hand, financial, industrial and commercial Luxembourg-incorporated companies and, on the other hand, non-executive directors regarding all the mandates they hold in boards of directors and specialized board committees.

ILA Board Sustainability Competency Assessment

ILA advocates embedding sustainability at every level within a company as best practice and key for businesses to thrive, important in these rapidly changing times.

In ILA’s view, boards have three main areas of responsibility: strategy; challenging and supporting management; and monitoring performance. Formulation of an effective strategy is fundamental for a company’s success and essential for navigation in uncertain times where the only constant is change. Sustainability should be integral to strategy.
