Course outline
The ILA Fund Governance Masterclass kicks-off with a brief overview of Luxembourg Investment Funds and Investment fund managers (IFMs) from the perspective of governing bodies before diving into key aspects of the governance of Funds and IFMs.
This module covers the different types of Luxembourg investment fund structures, the main types of IFMs, the applicable key governance requirements, IFM rules of conduct, Fund Codes of Conduct, with a focus on the ALFI Code, the role of the Chair, the role of the Executive Committee, oversight over internal audit, conflicts of interest, and the roles and liabilities of Fund and IFM Directors and Conducting Officers.
A number of interactive practical case studies throughout the module illustrate the types of governance questions and challenges which Directors may face across spectrum of Luxembourg structures from small startups to large complex IFMs.
